Gegenbauer and RGM: A clever move for a strong future
With retroactively effect to January 1st, 2016, Gegenbauer Holding SE & Co. KG (Gegenbauer), Berlin, obtains 90% of the shares of RGM Holding GmbH (RGM), Dortmund, previously held by Georgsmarienhütte Holding GmbH, Georgsmarienhütte. The merger of both companies was made possible by the reorganization of the business areas of the existing majority shareholder of RGM, who will focus on the core business of steel production and processing as well as forging and casting technology. The consolidation of the two companies creates a fully integrated real estate service provider. As a new heavyweight in the market, the affiliated companies with a total workforce of around 17,000 staff members generate an overall performance of around 660.0 million EUR. Both companies have agreed to maintain secrecy on the purchase price.
"With the reorganization of its business focus, Georgsmarienhütte Holding has opened the way for a further and exciting development of RGM with a strategic partner," explains Fritz-Klaus Lange, Managing Partner of RGM Holding GmbH. Lange will continue to hold his 10% share as well as his chairmanship within the management of RGM. Over the past years, RGM has achieved impressive growth far beyond the market. The takeover of the shares of Georgsmarienhütte Holding by a recognized company from the real estate industry enables RGM to continue its successful growth path within a strong partnership.
Complementary geographic coverage and service range
"Both companies complement each other perfectly regarding both the geographic coverage as well as the content related services," concludes Christian Lewandowski, Chairman of Gegenbauer’s Holding Management Board, adding: "In the course of our discussions, we have worked out interesting and exciting plans for the future which will benefit our now shared and solid customer base."
While RGM traditionally focuses on technical FM services as well as property management, the Gegenbauer Group is active in infrastructural facility management, security services as well as the aviation services segment. Outside Germany, the newly formed group is present in foreign markets in Poland, Luxembourg, Switzerland and Turkey.
Continuity and stable structures
Under the umbrella brand Gegenbauer, RGM will continue to operate as a stand-alone company with the established market presence "RGM - adding value" and its well-known management which is familiar with the market conditions. Within the newly-formed group of companies, RGM will be responsible for the technical and integrated facility management in particular.
In the future, the entire company group will be run by Christian Lewandowski and Fritz-Klaus Lange, who act as co-chairs. "The collaboration with a well-known and acknowledged colleague in the industry will facilitate the integration of RGM" Lange continues.
The takeover of the RGM company shares by Gegenbauer is subject to approval by the responsible antitrust authorities.
